General Business Terms and Conditions

These General Business Terms and Conditions(GTC) govern the relationship between the seller in the area of IT technologies, the company Eyedea Recognition s.r.o. (herein after the “Seller”) and customers of Eyedea Recognition s.r.o. (herein after the “Buyer(s)”). The Buyer is obliged to get acquainted with the Warranty Claim Policy and General Terms and Conditions of Sale before ordering any merchandise from Eyedea Recognition s.r.o..

The Seller

Eyedea Recognition s.r.o., IČ: 27581349 DIČ: CZ27581349 with its seat in Pod Hybšmankou 7, 150 00 Prague 5, Czech Republic, is a company registered at the Registration Court in Prague under Section C, insert 113292 as a trading company oriented in the sale of Information Technologies both to IT distributors and End Users.

The Buyer

End User – at the initial stage of the business relationship the End User will hand over its contact data to the Seller necessary for the execution of the order, and any additional data the Buyer wants to appear in the bill of sale.

Legal obligations between the Seller and the Buyer not specified in these GTC are governed by the Civil Code Act No. 89/2012 Coll.

IT dealer – at the initial stage of the business relationship the End User will hand over to the Seller the documents related to legal facts pertaining to entrepreneurs (copy of Trade Register Entry, valid Trade Authorisation, VAT registration ). The distributor is obliged to continuously update these data.

Legal obligations between the Seller and the Buyer not specified in these GTC or in any Contract between the Seller and the Buyer are governed by the Commercial Code Act No. 513/1991 Coll.

The individual contract with the Buyer supersedes the General business Terms and Conditions.

The Buyer is aware of the fact that by buying the products offered by the Seller he gets no right to use registered marks, business names, companys logos or patents of the Seller or other firms, unless it is agreed otherwise by a special contract.

Confidentiality and protection of information

The seller declares that all personal data are confidential and will only be used for the execution of the contract with the Buyer and these data will not be made public or provided to third parties etc. with the exception of data needed the method of payment concerning the service ordered (use of name).

Eyecoin Terms and Conditions

1. Eyecoin Acquisition and Redemption

Eyecoins ("Eyecoins") are virtual tokens that can be acquired through specified means outlined on our website and redeemed for computational operations with our Eyedea SDK. Each computation, such as license plate recognition (ANPR) or make and model recognition (MMR), requires 1 Eyecoin.

2. Expiration and Renewal

Eyecoins do not have an expiration date and do not require renewal. They remain valid until redeemed or until the account is closed.

3. Refund Policy

Eyecoins are non-refundable except as required by law. In the event of service termination or account closure, unused Eyecoins may be refunded at our discretion.

4. Usage Restrictions

Eyecoins may only be used for computational operations specified on our platform and are subject to usage limitations outlined in our service agreements.

5. Intellectual Property Rights

Ownership of Eyecoins does not confer any intellectual property rights. All intellectual property rights related to computational operations accessed using Eyecoins remain the property of our company.

6. Modification of Terms

We reserve the right to modify the terms and conditions related to Eyecoins at any time. Customers will be notified of changes and must accept updated terms before continuing to use Eyecoins.

7. Liability Disclaimer

We are not liable for any damages or losses resulting from the use or inability to use Eyecoins, including technical issues, interruptions, or errors.

8. Governing Law and Jurisdiction

These terms and conditions related to Eyecoins are governed by the laws of the Czech Republic. Any disputes arising from the use of Eyecoins shall be subject to the exclusive jurisdiction of the courts of the Czech Republic.

Price list

The Seller reserves the right to change prices at any time without previous notice. The online e-shop prices are always up-to-date.

Order processing

The buyer will get the virtual tokens ("Eyecions") for the price valid at the time of the order.

EEA Instructions on Withdrawal

If you’re an EEA-based consumer, then starting on May 28, 2022, EEA consumer law gives you the right to withdraw from this contract as described in the EU’s Model Instructions on Withdrawal, provided below:

Right of withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period will expire after 14 days from the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or e-mail). You can contact us by email at or by post at Eyedea Recognition s.r.o., Pod Hybšmankou 7, 150 00 Prague 5, Czech Republic. You may use the attached model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

If the Buyer can not return the virtual tokens ("Eyecions") if their value has already been lowered (the service were used), the Buyer is obliged to make a financial compensation to the Seller in accordance with the stipulation of the Civil Code. The sales price is paid back to the Buyer reduced by the respective amount.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, you will not incur any fees as a result of such reimbursement. This means that the reimbursement will be sent to the same account from which the payment was made.

While the virtual tokens ("Eyecions") themselves are not physical goods, we strive to ensure their functionality and reliability for the purchase of computational operations with our Eyedea SDK. We provide no explicit warranty for Eyecoins, but we commit to maintaining the proper functioning of our platform and the services enabled by Eyecoins.

Final provisions

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any disputes arising between Eyedea Recognition s.r.o. and the Purchaser may be settled out of court through the Alternative Dispute Resolution or Online Dispute Resolution (ADR/ODR) procedure; with the Purchaser’s option to contact the ODR entity. More information about the alternative dispute resolution can be found here. Eyedea Recognition s.r.o., however, recommends the Purchaser to first contact Eyedea Recognition s.r.o. to address the situation.

The agreement is entered into in the English language. If the agreement is required to be translated for the Purchaser into another language, the English version prevails in case of discrepancies between the two language versions.

These General Business Terms and Conditions and parts here to come into force and effect on 28 March 2024, repealing the previous versions.
